THE 1913 WILDERNESS CLUB

RULES

Name of Club

The Club shall be called “The 1913 Wilderness Club”.

Purpose of Club

The Club shall exist for the purposes of:

  • Keeping together Members of RICS who have taken an active
    part in the Junior Organisation/matrics
  • Encouraging Club Members to take an active interest in the
    affairs of RICS
  • Encouraging support for the Junior Organisation/matrics
  • Encouraging support for the benevolent fund of the RICS
    (LionHeart)
  • Discussing matters of professional interest and
  • To encourage social activities among Chartered Surveyors.

Membership

Members of RICS, who have taken an active part in the Junior Organisation/matrics or support the purposes of the Club and have been proposed by the Committee or nominated by two Members of the Club, (such nomination to be made to the Honorary Secretary in writing not less than 29 days prior to the AGM) shall be eligible for election to the Club.

Members of the Club shall be dependent upon continued membership of RICS or otherwise at the discretion of the Officers.

Election to the Club shall be decided by a vote of Club Members at the Annual General Meeting. All other matters relating to membership shall be by resolution of the Committee of the Club.

The Club membership is limited to 250 Members or such larger number as the Club Committee may from time to time decide.

Annual General Meeting

An Annual General Meeting of the Club shall be held during the months of May or June. Members shall be given 21 days written notice.

Election of Committee and Officers

The management of the Club shall be in the hands of the Committee, who shall retire at the Annual General Meeting.

The Committee shall comprise:

  • The Chairman, Honorary Secretary, Honorary Treasurer and immediate past-Chairman.
  • The Chairman and Honorary Secretary for the time being of the Junior Organisation/matrics, whether or not Members of the Club.
  • One Member of the Club who is also a member of the Junior Organisation/matrics.
  • Four Members of the Club who are not members of the Junior Organisation/matrics, to be elected at the Annual General Meeting of the Club by a show of hands or otherwise as the meeting may direct. Of the four ordinary Members, elected under this rule, the Member with the longest term of service on the Committee shall be ineligible for re-election for the ensuring year. In the event of two Members having the same term of service, the order of retirement shall be decided by lot.
  • The Club President shall be an ex-officio Member of the Committee (without the right to vote)
  • If the Chairman is not present at any meeting, the Committee shall nominate one of their Members, other than the Honorary Treasurer, to carry out the duties of the Chairman.
  • In the case of a vacancy occurring on the Committee or among the Officers during a term of office, the Committee shall have the power to nominate a Member to fill the vacancy.
  • Prior to the Annual General Meeting the retiring Committee shall nominate a Chairman, an Honorary Secretary and an Honorary Treasurer who shall, if elected at the Annual General Meeting, hold office until the following Annual General Meeting. No Member may hold more than one office during a session. The Chairman shall not be eligible for re-election.

President

The Committee shall nominate, for election by the Members at an Annual General Meeting, a President whose term of office shall be at his own discretion up to a maximum of five years. Such President shall be a senior member of RICS who supports the purposes of the Club.

Duties of Club Officers

The duties of the Honorary Secretary and Honorary Treasurer shall be such as the Committee from time to time prescribe.

In the Chairman’s absence, at any event, the President or the Senior Member of the Committee present, shall preside.

Special General Meetings

The Honorary Secretary, at the request of the Committee or at the written request of any ten Members, shall convene a Special General Meeting of the Club, for any purpose and shall give members twenty-one days’ written notice thereof. If the President considers any matter of sufficient urgency to justify such a course being adopted, he/she may authorise the Honorary Secretary to convene a Special General Meeting, giving not less than seven days written notice to Members.

Quorum for voting at General and Committee Meetings

At Annual and Special General Meetings eight Members, and at Committee Meetings four Members, shall constitute a quorum. All questions shall be decided by a show of hands, unless a secret ballot be demanded. The Chairman shall have a second or casting vote.

Annual Dinner

An Annual Dinner shall be held. The Committee shall have the power to invite, at the expense of the Club, not more than four guests.

All Members of the Junior Organisation/matrics Committee who are not Members of the Club shall be entitled to attend the Annual Dinner on payment of such fee as the Committee of the Club may from time to time decide. At the discretion of the Honorary Secretary, Members will be permitted to invite, to the annual dinner, as their guests, members of the Junior Organisation/matrics, who will be at the entire expense of the relevant Member.

Annual Subscription

An Annual Subscription becomes due from every Member of the Club on 1 July.

Cessation of Membership

Any Member who on the first day of December has not remitted his annual subscription and whose subscription remains unpaid after fourteen days’ written notice of default, shall cease to be a Member of the Club, but shall be reinstated at any time if the arrears of subscriptions due are paid. The Committee shall have discretion to re-admit former Members and to determine the amount of any payment in relation to arrears of subscriptions as may be appropriate to the circumstances.

Honorary Members

20. (a) Chartered Surveyors and other person not being Chartered Surveyors shall be eligible for election of Honorary Members if in the opinion of the Committee they do or have supported the purposes of the Club or are otherwise considered suitable for membership. Nomination of such Honorary Members shall be made by the Committee and their election shall be by majority vote taken at the Annual General Meeting.

(b) The Chairman and Honorary Secretary of the Junior Organisation/matrics Committee who are Members of the Committee under Rule 9 (b) shall be deemed to be Honorary Members of the Club for the period of their
 service on the Committee. Subscriptions for Honorary Members shall be at the discretion of the committee.
 
Annual Accounts

21. The Honorary Treasurer shall present to the Annual General Meeting an account of income and expenditure. The accounts shall have been audited by two Members of the Club elected at the preceding Annual General Meeting.

Social Functions

22. (a) The Committee shall organise functions, at their discretion, the object of which will be to bring together Members in a social environment.

  • Members of the Club shall be notified, at least 21 days before, of the place and hour at which such functions are to be held.
  • Members will be permitted, at the discretion of the Chairman, to invite their own guests to social functions who will be at the entire expense of the relevant Member.

Allocation of Surplus Funds

The Committee shall have power to allocate, at their discretion, but with the interests and the objects of the Club being paramount in the exercise of their discretion, any surplus funds of the Club.

Alteration in Rules

No alteration shall be made in these Rules except by not less than a two-thirds majority vote of the members present at an Annual General Meeting or a Special General Meeting convened for that purpose.

Construction of Rules

25. (a) In these rules the singular shall import the plural and the masculine shall import the feminine.

The President shall decide any question as to the construction to be placed on these Rules.
